Terms of Service

These Terms of Service ("Terms") govern your access to and use of bookedcontractor.co and its related pages (the "Site"), and any forms, surveys, calendars and communications offered through it, provided by HUDO AI, LLC, a Florida limited liability company doing business as Booked Contractor ("Booked Contractor," "we," "us" or "our").

By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Who can use the Site

The Site is intended for business owners and their authorized representatives who are at least 18 years old and located in the United States. By using the Site, you confirm that you meet these requirements and that you have authority to act for the business you represent.

2. What we do

Booked Contractor provides advertising, lead follow-up and appointment booking services to home service businesses. Information on the Site describes our Services in general terms and is not an offer that can be accepted.

Paid Services are governed by a separate written agreement. If you become a client, the scope of work, fees, term, performance guarantee and its conditions, and other commercial terms will be set out in a written Service Agreement signed by both parties. If the Service Agreement conflicts with these Terms, the Service Agreement controls.

3. No guarantee of results

Results depend on many factors outside our control, including your market, trade, offer, pricing, reputation, advertising budget, advertising platform policies and how quickly your team responds to and runs appointments. Any results, examples or projections on the Site are illustrations, not promises. Any performance guarantee applies only as expressly stated, and subject to the conditions set out, in a signed Service Agreement.

4. Applications, surveys and bookings

When you submit an application or book a call, you agree to give accurate and complete information. We may decline to work with any business at our discretion, including based on market availability, since we generally work with one company per trade per city. Submitting an application or booking a call does not create a client relationship or reserve your market.

5. Communications and SMS program

By submitting your information, you agree that we may contact you by email and phone about your application, your booked call and our Services. Some of our communications may be drafted or sent with the help of artificial intelligence tools. You can ask to speak with a person at any time.

SMS program. Booked Contractor (Hudo AI, LLC) operates the "Booked Contractor Appointments and Updates" text message program. We send text messages only to people who give express consent by checking an optional consent box on our website survey at https://apply.bookedcontractor.co/apply.

• Non-marketing messages (first checkbox): messages about your application, scheduling your call, appointment confirmations and reminders, and follow-up on your inquiry.
• Marketing messages (second checkbox, optional): offers, updates and information about our services.

Message frequency. Message frequency varies based on your interaction with us.

Message and data rates. Message and data rates may apply. Check your mobile plan for details. We do not charge for text messages.

Opt-out. Reply STOP to any message at any time to stop receiving text messages. You will receive one final confirmation message and no further messages unless you opt in again. You can also reply CANCEL, END, QUIT, UNSUBSCRIBE or STOPALL.

Consent is not a condition of purchase. You do not have to agree to receive text messages to buy any goods or services.

Carrier disclaimer. Mobile carriers are not liable for delayed or undelivered messages.

Eligibility. You must be at least 18 years old and the account holder of the mobile number, or have the account holder's permission, to opt in.

6. Privacy

Our Privacy Policy at https://bookedcontractor.co/privacy explains how we collect and use information. By using the Site, you acknowledge it.

7. Intellectual property

The Site, including its text, design, graphics, logos, funnels, scripts and other content, is owned by Hudo AI, LLC or its licensors and is protected by intellectual property laws. You may view the Site for your own business evaluation. You may not copy, reproduce, modify, distribute or create derivative works from any part of the Site without our written permission. "Booked Contractor" and its logo are trademarks of Hudo AI, LLC.

8. Acceptable use

You agree not to:

• Submit false, misleading or someone else's information.
• Use the Site for any unlawful purpose or in violation of these Terms.
• Attempt to access systems or data you are not authorized to access, or interfere with the Site's operation or security.
• Scrape, crawl or collect data from the Site by automated means, except for search engines indexing public pages.
• Copy our funnels, offers or materials to build a competing service.

9. Third-party services

The Site uses and links to third-party services, such as calendar, video meeting, payment and analytics tools. We are not responsible for third-party services, and your use of them is subject to their own terms.

10. Disclaimers

THE SITE AND ALL INFORMATION ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BOOKED CONTRACTOR, HUDO AI LLC AND THEIR MEMBERS, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS (US$100). LIABILITY FOR PAID SERVICES IS GOVERNED BY THE SERVICE AGREEMENT.

12. Indemnification

You agree to defend, indemnify and hold harmless Hudo AI, LLC and its members, employees and contractors from any claims, losses and expenses, including reasonable attorneys' fees, arising from your misuse of the Site or your violation of these Terms.

13. Dispute resolution and arbitration

Please read this section carefully. It affects your legal rights.

Informal resolution first. Before starting any formal proceeding, you agree to contact us at info@bookedcontractor.co and try to resolve the dispute informally for at least 30 days.

Binding arbitration. Any dispute arising out of or relating to these Terms or the Site that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will take place in Miami-Dade County, Florida, or by video conference if both parties agree. Judgment on the award may be entered in any court with jurisdiction.

Class action waiver. Claims may be brought only in an individual capacity, not as a plaintiff or class member in any class, collective or representative proceeding.

Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect its intellectual property.

Opt-out. You may opt out of this arbitration agreement by emailing info@bookedcontractor.co with the subject line "Arbitration opt-out" within 30 days after you first use the Site.

14. Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law rules. For any matter not subject to arbitration, you agree to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida.

15. Changes and termination

We may update these Terms from time to time by posting a new version with a new effective date. Your continued use of the Site after the change means you accept the updated Terms. We may suspend or end access to the Site at any time.

16. General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any provision is not a waiver. These Terms, together with our Privacy Policy and SMS Terms, are the entire agreement between you and us about the Site.
